Terms and Conditions Tickets

1.Introduction

1.1. EMEL – Empresa Municipal de Mobilidade e Estacionamento de Lisboa, E.M., S.A., with head office at Alameda das Linhas de Torres, 198/200, in Lisbon, legal person with the single registration and tax identification number 503311332, hereinafter referred to in short as Velo-city 2021 Lisbon Event organiser, hereinafter also referred to as “Event”, which will be held in Lisbon in a venue to be determined, hereinafter referred to as “Venue”, between 6-9 September 2021.
1.2. The Event will preferably take place in person format (hereinafter referred to as “In-Person Event”) with some selected conferences taking place simultaneously in digital format in the Event's digital channels.
1.3. The Event is a global knowledge exchange platform bringing together all those involved in the policy and promotion of mobility in general and by bike, active mobility and sustainable urban development, organized in 2021 by EMEL, as agreed with the  ECF – European Cyclists Federation and the Municipality of Lisbon, partners of the Organiser.


2. Scope

2.1. Access to the Event is subject to ticket purchase, which includes (i) registration (ii) acceptance of these Terms and Conditions and (iii) payment of the amounts and fees due, as set forth in Clause 9.
2.2. The Website’s Privacy Policy  and the Website Terms and Conditions of Use.
2.3. The Event Organiser reserves the right to, at all times, update and introduce changes and additions to the rules set forth in these Terms and Conditions without prior need for communication, the version in force being published on the Event website, and the Participant may not claim ignorance of any change and additions made.


3. Event registration and entry conditions

3.1. Access to the Event is subject to ticket purchase, which includes (i) registration (ii) acceptance of these Terms and Conditions and (iii) payment of the amounts and fees due, as set forth in Clause 9.
3.2. Upon purchase and payment of the ticket, the Participant will receive a confirmation email.
3.3. The only means of payment are: credit card (Visa and MasterCard) and bank transfer.
3.4. If the payment has not been received in full one week after the purchase registration, the Organiser reserves the right to cancel the registration. Any charge or bank fee must be borne by the Participant.
3.5. For registrations made after 23rd August, the only means of payment allowed is through credit card (Visa and MasterCard).
3.6. Transactions carried out include VAT at the statutory rate in force. All payments will be invoiced and can only be made in euros (EUR).
3.7. Minors under 16 must be accompanied by at least one parent, or another legal guardian, to enter the Event.
3.8. By purchasing the ticket, the Participant agrees to comply with all the rules contained in these Terms and Conditions, including those applicable in relation to their access and stay at the Event.
3.9. Event participants, whether or not they have purchased tickets directly, whether natural or legal persons, are subject to these Terms and Conditions.


4. Access and stay at the Event

4.1. Without prejudice to the obligation to comply with the rules contained in the regulation of the Venue’s managing entity, when accessing the Event, the Participant expressly accepts to:
4.1.1. Comply with any and all rules of entry to the Event and Venue, as established by the Organiser;
4.1.2. Not damage, misuse, disfigure or tamper with any element of the Venue or remove or attempt to remove any item or object from the Venue or Event;
4.1.3. Not damage the devices made available during the Event, returning them in the state in which they were made available;
4.1.4. Not litter or pollute the Venue;
4.1.5. Not use indecent, obscene, racist or discriminatory language or threatening or insulting words or, in any way, behave in a threatening, abusive, disorderly, indecent or insulting manner;
4.1.6. Not depreciate in any way, directly or indirectly, the brand image and/or any other image of the Organiser and/or any brand connected with it;
4.1.7. Not interfere, obstruct or hinder the activities of the Organiser, its collaborators, agents or contractors in the exercise of their competences, functions or duties, or behave in a threatening manner or in a way that seeks to threaten the safety of the performers, employees, agents or contractors;
4.1.8. Not behave in any way that reasonably interferes with the enjoying of other Event Participants;
4.1.9. Not smoke on the Venue;
4.1.10. Not present or promote or in any way suggest that oneself is associated with the Organiser;
4-.1.11.Not consume excessive alcoholic or illegal substances;
4.1.12. Comply with all instructions given at the Event by the Organiser's employees and security teams in case of emergency or evacuation;
4.2. The Event Organiser may, without any imputation of liability or obligation to refund, refuse access to and stay at the Event to any Participant who:
4.2.1. Poses a security risk to the Event or to other Participants or third parties;
4.2.2. Behaves in a manner that may impair or cause disturbance to the normal operability of the Event or cause discomfort to other Participants;
4.2.3.Does not comply with these Terms and Conditions.
4.3. Any Participant behaving inappropriately may be expelled from the Event and possibly reported to the appropriate authorities.


5. Health and safety

5.1. For the comfort and security of all, the following items are not allowed in the In-Person Event or on the Venue:
5.1.1. Alcoholic beverages, except those provided in the course of the Event’s social activities, drugs or other illegal substances;
5.1.2. Firearms and any object that can be used as a weapon;;
5.1.3. Fireworks;
5.1.4. Sound amplification devices, with the exception of devices made available at the Event, whistles or megaphones;
5.1.5. Unauthorized promotional, commercial, political, religious or offensive items of any nature, including clothing, banners, signs, symbols and leaflets or flyers;
5.1.6. Any other object that can be considered dangerous and capable of causing public discomfort and that can be used to distract, obstruct or interfere with the enjoyment of the Event by another Participant.
5.2. If the Participant has one or more prohibited items, the Organiser reserves the right to immediately expel that Participant and, when applicable, report it to the competent authorities.
5.3.The Organiser is not responsible for assets lost or stolen.
5.4. The Organiser is not responsible for behaviours or occurrences during social activities or which happen parallel to the Event such as meals, bike rides or others, and the Participants must comply with the respective rules and governing law.


6. Visa requirements

6.1. It is the Participant's sole responsibility to comply with visa requirements to access the territory of the Portuguese Republic, in order to participate in the Event.
6.2. All those interested in participating in the Event who require an invitation letter for visa application purposes must send an email to [email protected]. Invitation letters will not be issued without receipt of registration and payment of the required registration fees.
6.3. The Organiser will not intervene in the visa application process beyond what is provided herein, and it is the Participant's responsibility to take the necessary steps for its issuance.
6.4. If the visa is refused, the Participant may not request any refund beyond the provisions set forth in Clause 9.


7. Changes and cancellations to the Event

7.1. The Event Organiser seeks to ensure that the Event programmes, speakers, themes, platform, format and dates are correct and updated at the time of publication.
7.2. The Organiser may make replacements, changes, postponements or cancellations regarding Event content, format, themes, speakers, hosts, moderators, venue, times, platform or dates. The Organiser reserves the right to do so at any time without prior notice, and this will not give rise to a refund of any costs borne by the Participant.
7.3. Any replacements, postponements or changes will be communicated to the Participant through the publication of the updated information via the Event’s official channels.
7.4. In case of Event cancellation, liability is limited to the provisions set forth in Clause 9, regarding the refund policy, and the Organiser will not be liable for any other expenses, damages or losses borne by the Participant as a result of the cancellation.


8. Audio, video, or photographic recording

8.1. It is prohibited to use photographic, audio, video or other recording equipment during the Event, other than for strictly personal use, unless expressly authorized in writing by the Organiser.
8.2. Upon entering the Event and the Venue, the Participant consents, free of charge, to:
8.2.1. Having their image and/or voice recorded by any means (including but not limited to audio recordings and visual recordings made by television or other cameras and by photographers), hereinafter together referred to as “Images”;
8.2.2. Participating in broadcasts and live broadcasts;
8.2.3. Sharing the images with other people who have participated in the event.
8.3. Upon registration and acceptance of these Terms and Conditions, the Participant declares and guarantees to have obtained and possess the necessary authorizations, regarding Image Rights, from the other group members.
8.4. The Organiser may, at any time, consider it necessary to obtain confirmations of these authorizations, in which case the Participant must, at the Organiser's expense, provide such documents.
8.5. The Participant may, at any time, request the removal of their Images from the Organiser’s archives. In any case, the Images will be deleted within 5 (five) years after the Event’s conclusion.


9. Tickets, prices and refund policy

9.1. The ticket is owned by the Organiser and represents a revocable personal licence, which can be withdrawn, and access to the Event can be refused, at any time, by refunding the ticket price.
9.2. A valid ticket allows the Participant to access the Event. The ticket acts as a receipt for the transaction and can be used to access the Event.
9.3. Once the ticket purchase has been successfully completed, it is sent to the email given by the Participant. For the purchase of tickets, it is necessary to fill in certain personal information and, in some cases, documentary evidence of a given condition.
9.4. The Organiser is not obliged to offer any discounts for the Event and reserves the right to withdraw a discount offer at any time.
9.5. Details on ticket types and prices are available on the event website (link to the page with the ticket prices).
9.6. In-Person Tickets are only transferable to a person who meets the same conditions, upon payment of a EUR 75 fee.
9.7. The holder of the In-Person Ticket has the right to change their ticket under the following conditions:
9.7.1. Until 31 July 2021: An In-Person Ticket can be exchanged for a Digital Ticket, in which case there is a refund of the original amount paid for the ticket, minus the price of the Digital Ticket;
9.7.2. After 1 August 2021: An In-Person Ticket can be exchanged for a Digital Ticket. No refunds will be made.
9.8. If available, the Standard Ticket holder can upgrade their ticket to an Ambassador Ticket, upon payment of a supplement. To upgrade the ticket, its holder must contact [email protected].
9.9. If the In-Person Event is cancelled by the Organiser, the In-Person Ticket will be automatically changed to a Digital Ticket, in which case a refund will be made of the original amount paid for the ticket, minus the price of the Digital Ticket.
9.10. If available, the Digital Ticket holder has the right to upgrade their ticket to a Standard In-Person Ticket, upon payment of a supplement. To upgrade the ticket, its holder must contact [email protected].
9.11. The Digital Ticket is non-refundable unless the Digital Event is cancelled. In this case, the original amount paid for the Ticket will be refunded.
9.12. The Organiser reserves the right to change ticket prices at any time, but the changes will not affect the price of tickets already purchased.
9.13. Tickets purchased are for personal use and cannot, under any circumstances, be resold. The resale or attempt to resell any ticket will immediately cancel said ticket. The Organiser reserves the right to cancel the purchase of tickets made by any person or entity thought to be associated with a ticket resale activity.
9.14. The refund will be made using the same original means of payment, i.e. by means of credit card or to the bank account used, in this case minus the respective bank fees.
9.15. If, for reasons attributable to the Participant, the Participant is unable to participate/attend the Event, no refund will be due to the Participant.


10. Right of free resolution

10.1.For the exercise of the right of free resolution, in accordance with the governing law on distance contracts, pursuant to Decree-Law No. 24/2014 of 14 February, in its current wording, the Participant must communicate in writing to the Organiser the decision to terminate the contract concluded, pursuant to the procedure established in the following paragraphs.
10.2. The Participant has the right of free resolution of this contract, within 14 calendar days, without providing any reason.
10.3. The deadline for exercising the right of free resolution expires within 14 days of the day following the ticket registration and purchase.
10.4. In order to exercise the right of free resolution provided for in the preceding paragraphs, the Participant must communicate to the Organisers, by the means indicated in Clause 21, the decision to terminate this contract by means of an unambiguous statement (e.g., letter sent by post or email). To do this, the Participant can use the termination form template available in paragraph 10.8.
10.5. The right of free resolution is considered exercised when the statement of termination is sent before the end of deadline referred to in paragraph 10.2.
10.6. In case of termination of this contract, the Participant will be refunded the ticket price by the same means of payment used for the initial transaction within 14 days from the date of reception by the Organiser of the communication referred to in paragraph 10.4.
10.7. In any case, the Participant does not bear any costs as a result of such refund.
10.8. For the exercise of the right of free resolution of this contract, the following email must be used: [email protected]


11. Privacy policy and data processing

11.1. Upon Event registration and ticket purchase, the Participant must provide the following personal data required on the form. 
11.2. ECF is the “Data Controller” for the purposes of data protection legislation and will use the Participant's personal data for the purposes of invoicing, managing and securing the Event and the Participants, communicating with the Participants during the Event, improving the website and marketing campaigns; the Organiser will be the data processor.
11.3. By registering and accepting these Terms and Conditions, the Participant consents to the use of their personal data for the purposes referred to in the previous paragraph.
11.4. By registering and accepting these Terms and Conditions, the Participant:
11.4.1. Authorizes the transfer of their personal data to service providers and entities subcontracted by the ECF and by the Organiser for the purposes of participation in the Event. The Participant is fully responsible for the veracity and accuracy of the information presented.
11.4.2. The Participant has the right to access their personal data free of charge for consultation purposes or to request the Organiser to rectify, delete, limit or update their data. Should any Participant request the total or partial erasure of their personal data prior to the Event, it may be necessary to exclude them from the Event.
11.4.3. The ECF and the Organiser undertake to ensure the obligation to guarantee the confidentiality and protection of the Participant’s personal data and to take the necessary measures, both at technological and organizational level, to prevent any change, loss or unauthorized processing of or access to such data.
11.5.The ECF and the Organiser will retain the Participant’s personal data in computer files located in European Union territory for 5 years from the date of the Event, without prejudice to the legal obligation to keep the Participant’s personal data in accounting documents for a period of 10 years.
11.6. The Participant may exercise its rights regarding data protection vis-à-vis the ECF as data controller.

12. Intellectual Property Rights

12.1. All intellectual property rights in connection with the Event, namely the content of the Event, the services and all materials distributed, are the property of the Organiser, partner institutions or related entities and/or speakers participating in the Event.
12.2. othing in these Terms and Conditions confers on the Participant any legal right or benefit in relation to the intellectual property used by the Organiser or partner institutions or related, nor does it grant the Participant any right or licence with respect to any other intellectual property of those.


13. Liability

13.1. The Organiser is not responsible for any loss, injury or damage resulting from any action taken or expectation created by the Participant or any third party during the Event and/or related activities.
13.2. The Participant acknowledges that the opinions expressed by guest speakers in connection with a conference are their own and are not liable to generate any type of responsibility for advice given, not binding the Organiser legally. The use of this type of information is the sole responsibility of the Participant.
13.3. The materials shared or distributed in connection with a conference are for information purposes only and the Organiser is not responsible for any inaccuracy or related omission of the information provided.
13.4. Any interaction between the Participant, the displays on the Event, or third party is the sole responsibility of those, and the Organiser will not be liable for any loss, injury or damage arising therefrom.
13.5. Nothing in these Terms and Conditions is intended to exclude or limit liability that cannot be excluded or limited under governing law.


14. Compensation

The Participant is solely and exclusively responsible for their participation in the Event, being responsible for compensating any damage caused to the Organiser or third party, or cost borne by them, arising out of the violation of any clause of these Terms and Conditions.


15. Force majeure

The Organiser is not responsible if the Event or any conference is wholly or partially cancelled, rescheduled or postponed, or for any failure or delay in fulfilling the obligations due to force majeure, this meaning any circumstance that entirely escapes the Organiser's control, namely natural disasters such as earthquakes, floods and fires, epidemics or pandemics, sabotage, strikes, embargoes or international blockades, acts of war or terrorism, riots, governmental or administrative injunctive impositions, interruptions or failures of public utility services, interruption, errors, failures or interferences in the electronic, computer, server, network or telecommunications system not attributable to the Organiser, or any other circumstance that renders the Event or of any conference being carried out, in whole or in party, unfeasible, illegal or impossible.



16. Final terms specific to the Event's digital channels

16.1. The Participant is responsible for ensuring that they have all the necessary tools to participate in the digital channels where the Event takes place.
16.2. The digital channel and its services may contain links to third party websites and contributions submitted by Participants, including videos, images, descriptions, links and other content. The Organiser is not responsible for such information and the Participant must carefully read any rules of access to such websites or such content.
16.3. The digital channel and its services are for the Participant's personal use only and cannot be shared with third parties. During the Event, the Organiser grants the Participant a limited, non-exclusive, non-transferable right to access the services and participation in the Event.
16.4. Access to digital channels, and their services, requires the use of suitable devices, and certain software (including third party software) may be required or may need updating. Participation in digital channels may be affected by the performance of these equipment and software.
16.5. Access to digital channels through a mobile network, private network or roaming network is subject to a charge/fees on mobile data, under the terms of the existing contract between the Participant and its provider of these services.
16.6. The Participant is the sole responsible for its interaction with the Organiser and the other Participants, displays, or others.
16.7. When accessing the website and digital channels, the Participant is prohibited from using them in a way that:
16.7.1. May compromise the security of the website and digital channels, and the security of other Participants or third parties;
16.7.2. Impair the effectiveness or functionality of the website or cause disruption to the normal operability of the digital channels or cause inconvenience to other Participants;
16.7.3. Does not comply with these Terms and Conditions.
16.8. The Organiser reserves the right to cancel or restrict the Participant's access to digital channels in case of violation of these Terms and Conditions or whenever there is an illegal or fraudulent use of the website.


17. COVID-19 pandemic-related health measures
Due to the pandemic situation, restrictions and control measures may be imposed in advance and during the Event, in accordance with the governing law and order imposed by competent administrative authorities. These measures may include, but are not limited to: control and monitoring, use of certified protection masks, measurement of body temperature, PCR test or other diagnostic tests.
 
18. Validity of the contract

If any clause of these Terms and Conditions is found to be illegal or unenforceable, in whole or in part, by virtue of any legal provision and by determination of a judicial authority or competent administrative authority, such provision shall not be considered as part of the contract, but the validity and application of the remaining parts of the contract are not affected, unless the parties had not entered into it in case of knowing such illegality or unenforceability.
 
19. Alternative Dispute Resolution

The Organiser is a member of Centro de Arbitragem de Conflito de Consumo de Lisboa [Consumer Conflict Arbitration Centre of Lisbon]. 
 
20. Governing Law and Competent Jurisdiction

These Terms and Conditions are governed by Portuguese law and, without prejudice to the provisions of the preceding clause, in case of dispute between the Organiser and the Participant, namely arising from the interpretation, violation or application thereof, the competent jurisdiction is that of the District Court of Lisbon, with express waiver of any other.
